合伙協(xié)議書中英文翻譯模板

甲乙雙方本著公平、平等、互利的原則訂立合作協(xié)議如下：
Both parties conclude this cooperation agreement on the principle of fairness, equality and mutual benefit as follows:
第一條 甲乙雙方自愿合作經(jīng)營 項目，總投為 萬元，甲方以人民幣方式出資 萬元，乙方以 方式入股。

Article 2. This agreement constitutes partnership business according to law. During the period of partnership, the contribution of capital from copartners shall be regarded as joint property and shall not be divided up at will; upon termination of partnership, the contribution of capital from each copartner shall be owned by individuals and will be refunded at the scheduled time.
第三條 雙方共同經(jīng)營，合伙人執(zhí)行合伙事務所產(chǎn)生的收益歸全體合伙人，所產(chǎn)生的虧損或者民事責任由全體合伙人共同承擔。
Article 3. The two parties shall conduct joint operation; income derived from partnership activities shall belong to all copartners while loss or civil liability occurred in partnership activities shall be borne by all copartners together.
第四條 項目盈余按照取得的銷售凈利潤的甲方 %、乙方 %的比例分配。
Article 4. Surplus earned will be allocated on a proportional basis of net profit earned from sales, Party A % while Party B %.

Article 6. Debt of the project shall be assumed by a ratio basis of Party A % and Party B %. Should one party paid off the external debt, the other party shall pay back its own part pro rata.
第七條 自協(xié)議簽訂之日起，乙方負責技術(shù)和項目現(xiàn)場有關(guān)事宜，甲方負責日常管理;與業(yè)主、監(jiān)理方、設(shè)計單位的各種工作聯(lián)系(包括協(xié)商、簽證等)及日常事務。
Article 7. From the date of agreement, Party B is responsible for matters concerned technology and project site while Party A is responsible for daily management, contact with client, supervisor and design organization (including consultation and visa, etc.) as well as daily routine.
第八條 爭議處理Article 8. Dispute Settlement
1、對于執(zhí)行本合同發(fā)生的與本合同有關(guān)的爭議應本著友好協(xié)商的原則解決;
Any disputes arising from the execution of, or in connection with the contract shall be settled through friendly consultations between both parties;
2、如果雙方通過協(xié)商不能達成一致，則提交仲裁委員會進行仲裁，或依法向人民法院起訴;
Where no settlement can be reached through consultation, the disputes shall be submitted to arbitration committee for arbitration or resort to people’s court.
第九條 違約處理Article 9. Actions upon event of default
如果一方違反本合同的任何條款，非違約方有權(quán)終止本合同的執(zhí)行，并依法要求違約方賠償損害。
Should one party breaches any clause of this contract, the other party shall have the right to terminate this contract and claim compensation against default party by law.
第十條協(xié)議解除Article 10. Termination of agreement
1、一方合伙人有違反本合協(xié)議的，另一方有權(quán)解除合作協(xié)議
Should one party violate this cooperation agreement, the other party shall have the right to terminate the agreement.
2、合作協(xié)議期滿 The cooperation agreement is expired;
3、雙方同意終止協(xié)優(yōu)議的 Both parties agree to terminate the agreement;
4、一方合伙人出現(xiàn)法律上問題及做對企業(yè)有損害的，另一方有權(quán)解除合作協(xié)議
Should one party breaks the law or do harm to the project, the other party shall have the right to terminate the agreement.
第十一條 本協(xié)議未盡事宜，雙方可以補充規(guī)定，補充協(xié)議與本協(xié)議有同等效力。
Article 11. Any matters not mentioned herein shall be regulated by a supplemental agreement which shall have the same legal binding force with this agreement.
第十二條 本合同一式兩份，雙方各執(zhí)一份，具有相同的法律效力。
Article 12. This agreement is made in duplicate with the same legal effect either of which shall be held by both parties respectively.
